Terms of Service
These Terms govern your use of the quPi website, mobile application, product pre-registration pages, digital content, and related services (collectively, the “Services”). The Services are operated by JBF Coastal LLC, an Oregon limited liability company. “quPi” is our product and brand.
1. Acceptance of These Terms
By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services. If you use the Services for an organization, you represent that you have authority to bind it to these Terms.
2. Eligibility and Minors
You must be legally able to enter into these Terms. If you are under the age of majority where you live, a parent or legal guardian must review and agree to these Terms and supervise your use. Some features may have additional age requirements. Parents and guardians are responsible for minors’ use of the Services, including purchases and voice or conversation features.
3. Limited License and App Use
Subject to these Terms, JBF Coastal LLC grants you a personal, limited, revocable, non-exclusive, non-transferable license to use the Services for lawful, non-commercial purposes. You may not copy, sell, reverse engineer, circumvent security or technical restrictions, interfere with operation, use automated means to scrape the Services, or use the Services to violate law or another person’s rights, except where applicable law expressly permits an activity despite this restriction.
4. Accounts and Security
If an account or device profile is available, you are responsible for accurate information, safeguarding access, and activity conducted through it. Notify us at info@qupi.net if you believe access has been compromised. We may require verification before acting on account requests.
5. Companion, Voice, and Generated Dialogue Features
quPi may offer microphone, speech-recognition, generated dialogue, virtual companion, mood, personality, and memory-style features. Recognition and generated responses may be incomplete, inaccurate, unexpected, or unavailable. These features are for entertainment and are not professional, medical, mental-health, legal, financial, safety, or emergency advice. Do not rely on them for decisions where an error could cause harm. Please review our Privacy Policy for information about voice and related data practices.
6. Purchases
Digital purchases may be processed by Google Play or another marketplace, whose payment, refund, family-purchase, and account rules also apply. Prices, taxes, availability, and included quantities will be shown before purchase and may change prospectively. You authorize the marketplace to charge your selected payment method when you confirm a purchase.
Virtual currency and digital items
Coins, food, fish, structures, and other virtual items are licensed digital content, not bank deposits or property with cash value. Unless required by law or marketplace policy, they are non-transferable, cannot be redeemed for money, and may be modified or discontinued as the Services evolve. Refund requests for marketplace purchases should ordinarily be directed through that marketplace’s process.
7. Product Pre-Registration
Submitting a pre-registration form only asks to receive availability or ordering information for the selected quPi product. It is not an order, reservation, deposit, guarantee of availability, or commitment to purchase. No payment is collected through pre-registration. Displayed prices are planned launch prices and may change before products become available. We will provide final price, specifications, terms, shipping details, and any applicable warranty before accepting an order.
8. Hardware and Pre-Release Information
Images, prototypes, videos, descriptions, dimensions, compatibility statements, features, release dates, and availability for the quPi Screen, quPi Cubbi, or other hardware may change during development. Marketing materials are illustrative unless expressly identified as final specifications. Do not make a purchase decision based on a feature that is described as planned, conceptual, or in development.
9. Acceptable Use
You may not use the Services to harass, exploit, deceive, harm, or impersonate others; upload unlawful or malicious material; attempt unauthorized access; disrupt networks; evade purchase or access controls; or encourage dangerous conduct. We may investigate suspected misuse and restrict access where reasonably necessary to protect users, the Services, or legal rights.
10. Intellectual Property
The Services and their software, designs, graphics, characters, text, audio, names, trademarks, and other content are owned by JBF Coastal LLC or its licensors and are protected by applicable intellectual-property laws. These Terms do not transfer ownership or grant permission to use our branding except as necessary to use the Services.
11. Feedback and User Submissions
If you voluntarily send ideas, feedback, or suggestions, you grant JBF Coastal LLC a worldwide, perpetual, irrevocable, royalty-free right to use, reproduce, adapt, and incorporate them without compensation or obligation. You represent that you have the rights needed to provide any material you submit and that it does not violate law or third-party rights.
12. Third-Party Services
The Services may rely on or link to marketplaces, payment processors, hosting providers, analytics tools, speech or AI providers, or other third-party services. We do not control their terms, content, availability, or privacy practices. Your use of those services may be governed by separate agreements.
13. Updates, Changes, and Availability
We may update, add, remove, suspend, or discontinue features or content, including to improve safety, comply with law, address technical issues, or develop the product. We do not guarantee uninterrupted or error-free operation, continued compatibility with every device, or permanent availability of any feature.
14. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” JBF COASTAL LLC DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO THESE DISCLAIMERS APPLY ONLY TO THE EXTENT PERMITTED.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, JBF COASTAL LLC AND ITS MEMBERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOSS OF DATA, PROFITS, GOODWILL, OR BUSINESS INTERRUPTION ARISING FROM THE SERVICES. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO JBF COASTAL LLC FOR THE AFFECTED SERVICE DURING THE PRECEDING TWELVE MONTHS OR US $100. Nothing in these Terms excludes liability that cannot lawfully be excluded or limits rights provided by applicable consumer law.
16. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless JBF Coastal LLC and its personnel from claims, liabilities, damages, and reasonable costs arising from your unlawful misuse of the Services, your violation of these Terms, or your infringement of another person’s rights.
17. Suspension and Termination
You may stop using the Services at any time. We may suspend or terminate access if you materially violate these Terms, create a security or legal risk, or if the Services are discontinued. Provisions that by their nature should survive termination—including intellectual property, disclaimers, liability limits, and dispute provisions—will survive.
18. Governing Law and Disputes
These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-law rules, except where the law of your residence provides non-waivable protections. Any court proceeding relating to these Terms will be brought in a state or federal court with jurisdiction in Oregon, unless applicable consumer law requires otherwise. Before filing a claim, please contact us so we can try to resolve the concern informally.
19. Changes to These Terms
We may update these Terms as the Services and legal requirements change. We will post the updated Terms with a revised effective date and provide additional notice when required. Changes apply prospectively. If you do not accept updated Terms, stop using the Services.
20. General Terms
If a provision is unenforceable, it will be modified only as needed and the remaining provisions will continue. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, financing, merger, sale, or transfer of the Services. These Terms and incorporated policies are the entire agreement regarding the Services.
